TOENNIES AND TICAN SIGN ACQUISITION CONTRACT

Toennies and Tican sign acquisition contract in Copenhagen, Denmark on Friday, Mar. 11, 2016.

Today on March 11, 2016 Clemens Tönnies, Tönnies manager Frank Duffe and Tican President Jens Jørgen Henriksen signed all relevant documents related to the business group Tönnies takeover of Tican A / S. Germany's largest meat company based in Rheda-Wiedenbrück takes over Tican retrospectively from 1 October 2015. On 26 February, the purchase was approved by the European antitrust authorities. Previously, the cooperative behind Tican already approved the acquisition at an extraordinary general meeting in December 2015.

"This acquisition is the largest in the company's history to date. Tican and its related markets, like the Danish market and the markets in the UK and the Far East, as Tican specifically targeted to play a significantly greater role for Tönnies in the future . Thus, we clearly rate after the growth and internationalisation of our group of companies, "said Clemens Tönnies.

Tönnies will invest in renewable Tican. The investments are in production and production technology centrally, but also in marketing, brands and individual products. The goal of the investments is to especially increase Tican productivity. It is one of the prerequisites for success in international competition.
 
In connection with the acquisition Tönnies will analyze its activities in Denmark in SB Pork and Tican, and depending on market conditions make mergers to combine competence and business areas of both companies and thus achieve synergies. The key is to improve both companies' processes and efficiency.
 
Also, for each of Tican's production sites, it is important to consolidate the processes and standardise the future market development within the corporate group. Particularly in the UK there is great potential for this overall market positioning. Synergy in the personnel field occurs, according to the initial plans, mainly in administration. Here especially dual functions avoided by individual studies of the individual administration areas.
 
In the production area, the objective of investment in production sites primarily improvement of the processes and the technology used and hence the production increases. This will in the short term also have implications for staffing requirements, but the planned growth will provide more jobs in the medium term.
 
The basis for Tican's growth is also securing raw materials for production. Historically Tican already has a very close relationship with farmers. Tönnies would like to continue this good connection in the form of a fair partnership and will therefore also in future offer the Danish farmers a real alternative when it comes to marketing.

Tönnies operates on several levels in the food industry worldwide. The four business areas are: Meat, Convenience, Ingredients and Logistic.
The family business, founded in 1971, has core business areas of slaughtering, cutting and processing of pigs and oxen. Consumers know first of all company brands "Tillmans" and "Toasty". About Tican:
Tican engages in the slaughter of pigs and processing of pork. Svineslagteriet was founded in 1931 and headquartered in Thisted. Its products include fresh and frozen pork, bacon, cooked dishes and a range of other processed meat products. In 2013/2014 the company had a turnover of 5.2 billion Danish kroner and employed a total of 2,200 employees.
